U.S. defense-technology company REDLattice has agreed to go public through a merger with Bold Eagle Acquisition in a transaction valuing the business at a pre-money enterprise value of $1.25 billion.
The companies expect the deal to generate as much as approximately $610 million in proceeds, including $335 million of committed capital from new and existing institutional and mutual-fund investors.
REDLattice, founded in 2012, provides cybersecurity and intelligence technologies including vulnerability research, intelligence acquisition and lawful-intercept capabilities.
According to the companies, REDLattice sells exclusively to government customers at the federal or nation-state level and serves more than 100 customers across 23 countries.
Following completion of the transaction, REDLattice expects its shares to trade on Nasdaq under the ticker REDL.
The companies are targeting completion around the end of 2026.
The transaction also adds to signs of renewed activity in the U.S. special-purpose acquisition company market after several years of significantly lower deal volume following the earlier SPAC boom.
For REDLattice, access to public-market capital could provide additional resources as governments increase spending on cybersecurity, intelligence and defense technology.
The deal nevertheless remains subject to the usual closing process and should not be treated as completed until its conditions are satisfied.
Investors will watch whether the transaction closes on schedule, the final amount of capital delivered at closing and how REDLattice positions itself within a rapidly expanding defense-technology market.
