Asia-focused investment firm PAG has agreed to acquire control of Evergrande Property Services for HK$4.03 billion, approximately $514 million, marking a significant asset sale in the liquidation of collapsed property developer China Evergrande Group.
PAG will purchase a 51.016% stake in the property-management company from Evergrande’s liquidators following a competitive auction.
Once control changes hands, PAG will be required to make an unconditional offer for the remaining shares at HK$0.8359 each.
That offer price represents a 29% discount to the company’s Wednesday closing price.
The transaction matters beyond the property-services business because Evergrande creditors have submitted approximately $46 billion in claims against the failed developer. Asset disposals are therefore central to determining how much value liquidators can ultimately recover.
Evergrande Property Services survived the collapse of its former parent with an operating business generating recurring revenue across a diversified portfolio of managed properties in China.
PAG plans to maintain the company’s Hong Kong listing and operate the business independently from its former parent. New directors are expected to be appointed following completion.
The acquisition and any subsequent mandatory offer will be financed through acquisition funding and equity committed by PAG Fund IV.
PAG will also pay an additional 500 million yuan covering specified taxes, fees and liabilities associated with the transaction.
Completion remains subject to Chinese antitrust approval and other conditions. The parties can terminate the agreement if those conditions have not been satisfied or waived by February 12, 2027.
For Evergrande’s creditors, the sale represents another step in the long process of converting the collapsed group’s remaining assets into recoverable cash.
The next question is how much additional value liquidators can extract from Evergrande’s remaining holdings compared with the enormous volume of creditor claims.
