The U.S. Justice Department is examining the competitive implications of Nvidia’s proposed $12.93 billion acquisition of artificial-intelligence platform Hugging Face, adding regulatory scrutiny to one of the AI industry’s largest recent transactions.
Justice Department officials have asked how the acquisition could affect competition and whether control of Hugging Face could give Nvidia influence over an important distribution point for artificial-intelligence models and development tools, according to Reuters.
The inquiry does not mean regulators have concluded that Nvidia or Hugging Face violated antitrust law, nor does it establish that the government will challenge the transaction.
Hugging Face occupies an important position in the AI ecosystem because its platform is widely used to distribute, develop and access models and related software across different hardware and cloud providers.
Nvidia has said Hugging Face will continue supporting multiple chip, cloud and AI companies following the acquisition. The transaction is expected to close during the first half of 2027.
The Justice Department’s questions come amid broader scrutiny of Nvidia’s acquisitions, investments and commercial practices.
Nvidia already occupies a central position in advanced AI computing through its accelerators, networking equipment and software ecosystem. Acquiring a major model-development and distribution platform could extend that influence further into the AI software stack.
The next development will be whether the Justice Department’s inquiry progresses toward a formal challenge, produces requests for concessions or ultimately allows the acquisition to proceed unchanged.
