Galp and Moeve Abandon Plan to Combine Major Iberian Refining and Fuel Businesses

Portugal’s Galp and Spain’s Moeve have ended negotiations over a proposed combination of their downstream businesses after months of discussions failed to produce commercial terms acceptable to both sides.

The companies began exploring the transaction following a non-binding agreement announced in January involving Galp and Moeve shareholders Mubadala Investment Company and Carlyle Group. Galp confirmed Monday that extensive negotiations had concluded without an agreement.

The proposed partnership was designed to create a larger European downstream energy operation by combining significant refining and fuel-retail assets across the Iberian Peninsula.

Galp said the strategic logic behind greater downstream consolidation remains compelling despite the collapse of negotiations. The company intends to continue developing its existing industrial and commercial operations independently.

The decision leaves Galp’s downstream portfolio intact, including its major Sines operations in Portugal. The company is also developing energy-transition projects at Sines, including a large green-hydrogen electrolyzer project and an advanced biofuels unit.

For European energy markets, the failed negotiations illustrate the difficulties involved in consolidating major refining and retail assets even when companies see potential advantages from increased scale.

Galp said the outcome does not alter its broader investment strategy or capital-allocation priorities and that it remains open to strategic partnerships capable of creating value.

The next question is whether Galp and Moeve pursue alternative partnerships independently or whether continued changes in European refining economics eventually reopen the case for consolidation.
