Drug distributor Cencora has agreed to acquire American Oncology Network in a transaction valuing the cancer-care provider at as much as $2.4 billion, expanding the company’s presence in community-based oncology.
Cencora already owns approximately 4% of American Oncology Network and will acquire the equity interests it does not currently own.
The transaction gives the pharmaceutical-services company greater exposure to a network of community oncology practices as cancer treatment increasingly moves across specialized outpatient and physician-led settings.
American Oncology Network supports oncology practices with services including drug procurement, pharmacy operations, laboratory services, technology and administrative infrastructure.
For Cencora, the acquisition extends a strategy built around increasing its presence deeper inside specialty healthcare rather than operating only as a conventional pharmaceutical distributor.
Specialty medicines, including oncology treatments, have become increasingly important to pharmaceutical supply chains because they often carry substantially higher values and require more complex distribution and patient-support systems than conventional drugs.
The deal also reflects continuing consolidation across U.S. healthcare as distributors, insurers and other healthcare companies seek greater involvement in the services surrounding high-cost treatments.
Cencora shares fell following the announcement, indicating that investors are also assessing the acquisition price and execution requirements rather than treating expansion alone as positive.
The transaction remains subject to closing requirements and should not be treated as completed.
Investors will now watch the financing and closing process, integration plans and whether the acquisition can expand Cencora’s specialty-healthcare earnings without creating excessive integration costs.
