Proofpoint has agreed to acquire Varonis Systems in an all-cash transaction valued at approximately $6.3 billion, combining two cybersecurity businesses as artificial intelligence increases the importance of controlling access to corporate data.
Under the definitive agreement, Varonis shareholders will receive $49.75 in cash for each share.
The price represents a 52% premium to Varonis’ June 22 closing price of $32.71, the final full trading day before initial reports that the company could be sold.
Proofpoint is owned by private-equity firm Thoma Bravo, which acquired the cybersecurity company in 2021.
Varonis specializes in protecting corporate data across cloud and enterprise environments, including monitoring access permissions and user behavior.
Those capabilities are becoming increasingly important as companies deploy AI systems capable of interacting directly with sensitive business information.
The combined companies expect to serve more than 16,000 large enterprises as well as millions of smaller organizations.
Proofpoint says the companies intend to create a unified platform protecting users, corporate data and AI systems.
The transaction values Varonis at approximately 8.4 times trailing 12-month revenue and about 53 times trailing free cash flow.
The acquisition is expected to close during the first half of 2027, subject to Varonis shareholder approval, regulatory clearance and customary closing conditions. Until then, the companies will continue operating independently.
The transaction highlights a second-order consequence of corporate AI adoption.
As autonomous software gains permission to access documents, databases, applications and other enterprise systems, companies need stronger controls over what employees and AI agents can access.
That increases the strategic value of cybersecurity platforms capable of identifying sensitive information and controlling permissions around it.
For Proofpoint, Varonis expands the company’s position beyond protecting users from threats toward protecting the underlying corporate data those users and increasingly autonomous AI systems can reach.
Investors should now watch regulatory review, Varonis shareholder approval and Proofpoint’s ability to integrate the two platforms following completion.
