CCC Intelligent Solutions has agreed to be acquired by a consortium led by private-equity firm GTCR and including Elliott Investment Management in an all-cash transaction valued at approximately $6.1 billion.
Under the agreement, CCC shareholders will receive $7.75 per share in cash. The price represents approximately a 44% premium to CCC’s unaffected July 9 closing price and roughly a 59% premium to its 30-day average price at that time.
Chicago-based CCC provides software and artificial-intelligence technology used across the property-and-casualty insurance industry, including systems connecting insurers, repair facilities and other participants in vehicle claims and repair workflows.
The transaction has been approved by CCC’s board and is expected to close during the first quarter of 2027, subject to shareholder and regulatory approvals. The acquisition is not subject to a financing condition. Once completed, CCC will become privately held and its shares will no longer trade publicly.
The transaction arrives as private-equity investors continue searching for established software businesses that could benefit from artificial intelligence while generating revenue from deeply embedded industry workflows.
For CCC investors, the $7.75 cash offer provides immediate value after concerns surrounding slower growth, reduced claims volumes and delays involving newer software products.
Attention now shifts to shareholder approval, regulatory clearance and completion of the transaction during the first quarter of 2027.
