Devon Sells Eagle Ford Assets to Crescent for $4.2 Billion as U.S. Shale Consolidation Continues

Devon Energy has agreed to sell its Eagle Ford assets to Crescent Energy for $4.2 billion in cash, completing a major portfolio shift toward Devon’s highest-return U.S. shale operations.

The assets cover approximately 90,000 net acres across Karnes, DeWitt and Gonzales counties in South Texas and account for roughly 4% of Devon’s total oil-equivalent production.

The transaction has an effective date of July 1 and is expected to close around the end of 2026, subject to regulatory approvals and customary conditions.

Devon said after-tax proceeds will be used to accelerate share repurchases and reduce debt.

For Crescent, the transaction significantly expands an existing core position in the Eagle Ford.

Crescent estimates its net purchase price at approximately $3.85 billion after customary adjustments. The acquired assets produce about 68,000 barrels of oil equivalent per day and sit adjacent to Crescent’s existing operations.

The company expects approximately $100 million of annual operational synergies.

The transaction illustrates how the U.S. shale sector continues to reorganize after years of consolidation.

Rather than pursuing production growth across numerous basins, larger producers have increasingly concentrated capital on acreage where they believe scale, drilling inventory and infrastructure can generate stronger returns.

Devon has been following that strategy after its combination with Coterra and its continued expansion in the Delaware Basin.

The Eagle Ford sale removes a mature asset while providing Devon with cash that can be redeployed toward its balance sheet and shareholders.

Crescent is making the opposite calculation: increasing scale in a basin where it already has operating expertise and adjacent acreage.

The next milestones are regulatory approval, closing around year-end and Devon’s November update on how the transaction changes its production and financial outlook.
