Northern Star Rejects Gold Fields’ $27.1 Billion Bid for Global Gold-Mining Megadeal

Northern Star Resources has rejected an unsolicited A$38.7 billion, or approximately $27.1 billion, takeover proposal from South Africa’s Gold Fields, blocking for now a transaction that would create the world’s second-largest gold producer.

The proposed combination would rank among the largest corporate takeovers in Australian history and highlights accelerating consolidation across the global mining industry.

Gold Fields offered Northern Star shareholders 0.3125 new Gold Fields shares plus A$7.25 in cash for each Northern Star share.

The proposal was worth A$27 a share when submitted on September 14. By Friday, movements in Gold Fields shares had reduced the implied value to A$25.19, representing approximately a 14% premium to Northern Star’s closing price.

Northern Star said the proposal undervalued its long-life asset portfolio and exposed shareholders to greater jurisdictional risk through Gold Fields stock.

Investors nevertheless treated the approach as meaningful. Northern Star shares closed 6.2% higher at A$23.47 Monday, while Gold Fields shares fell about 13% during the session.

A successful transaction would produce approximately 4.1 million ounces of gold annually, with about 80% of production coming from Australia, North America and Chile. Gold Fields estimates that a combination could generate $4 billion to $5 billion in corporate, operational and portfolio synergies.

Northern Star shareholders would own approximately one-third of the combined company.

Gold Fields has not abandoned its effort. Chief Financial Officer Alex Dall told Reuters that the company remains focused on constructive engagement with Northern Star’s board, although he declined to say whether Gold Fields would increase its offer or consider a hostile approach.

The next stage therefore turns on whether Gold Fields improves the economics sufficiently to draw Northern Star into negotiations.

Both companies are scheduled to address investors at a Colorado gold conference Tuesday, giving markets an early opportunity to assess whether the rejected proposal can develop into a negotiated transaction.
