Schneider Electric intends to launch an all-cash takeover offer for smart-building technology company Shelly Group in a transaction valuing the Bulgarian company at approximately €1.2 billion.
The proposed offer is €70 per share, representing a 27% premium to Shelly’s unaffected reference price on July 28 and a 22% premium to its September 23 reference price.
Shelly has entered into an investment agreement covering the proposed transaction. Its two founders, who collectively control approximately 57% of the company, support the offer and have conditionally agreed to sell their shares.
The acquisition would add Shelly’s software-led home-energy and smart-building platform to Schneider’s broader energy-management and building-automation operations.
The offer remains subject to regulatory approvals and a minimum acceptance threshold that would leave Schneider holding at least 95% of Shelly’s outstanding capital. If those conditions are met, closing is expected by the first quarter of 2027.
For Schneider, the transaction reflects growing demand for technologies that connect building automation, energy management and software as electricity consumption becomes increasingly digitized.
Investors will now watch regulatory review, shareholder acceptance and whether Schneider reaches the ownership threshold required to complete the transaction.
