Analog Devices said Wednesday it will buy privately held Alif Semiconductor for $1.35 billion in cash upfront, plus incremental contingent consideration of up to $200 million. The Pleasanton, California maker of low-power AI-native microcontrollers and fusion processors already ships silicon into consumer and industrial designs. Boards of both companies approved the definitive agreement, according to the companies’ PR Newswire release and a Reuters report.

Closing is expected before the end of calendar year 2026, subject to customary conditions and expiration of the Hart-Scott-Rodino waiting period. Analog Devices advised that PJT Partners and Wachtell are counsel on its side; Alif is advised by Qatalyst Partners and DLA Piper. Analog Devices also filed an 8-K (accession 0001193125-26-385938) dated Sep. 9 with related exhibits. Earn-out metrics were not disclosed. The deal is separate from Analog Devices’ earlier Empower Semiconductor acquisition.
