Agilent Technologies has agreed to acquire digital-pathology software company Proscia for $240 million in cash as the laboratory-equipment group expands its presence in artificial-intelligence-enabled diagnostics.

The agreement includes up to an additional $30 million tied to future performance milestones.

Proscia develops software that converts and manages pathology information digitally, allowing laboratories and healthcare organizations to store, review and analyze pathology images while integrating artificial-intelligence tools into clinical and research workflows.

The company’s platform is used by more than 4,000 laboratories, hospitals and clinics and by 16 of the world’s 20 largest pharmaceutical companies, according to Agilent.

Proscia generated more than $18 million in revenue during the latest 12-month period.

The acquisition builds on an existing relationship between the companies.

Agilent and Proscia entered a multi-year distribution agreement in 2022 combining Agilent’s pathology products with Proscia’s digital platform.

Bringing Proscia inside Agilent gives the company a software layer that can connect pathology instruments, laboratory information systems, image-analysis applications, artificial-intelligence tools and clinical data.

That strategy reflects a broader shift across medical technology.

Diagnostic companies increasingly want to combine physical laboratory equipment with recurring software revenue and AI-assisted analysis rather than competing solely through instruments and consumables.

Agilent also sees potential applications in pharmaceutical research and companion diagnostics, where digital pathology and AI could help researchers identify biomarkers and analyze tissue samples.

The transaction is expected to close early in Agilent’s fiscal 2027, subject to customary closing conditions.

For investors, the key question will be whether Agilent can use Proscia’s software platform and existing customer relationships to accelerate growth in digital pathology while integrating AI more deeply into its diagnostics business.
