Brink’s Wins UK Backing for Divestiture Remedy in NCR Atleos Deal

Brink’s has cleared an important regulatory hurdle in its planned acquisition of NCR Atleos after Britain’s Competition and Markets Authority accepted in principle a proposed divestiture designed to address competition concerns.

The remedy calls for Brink’s to sell its NoteMachine and TestLink UK businesses.

The proposed divestiture is intended to prevent the transaction from being referred to a more extensive Phase 2 competition investigation.

British regulators had raised concerns that combining the two companies could create an ATM-services provider controlling more than half of the relevant UK market, potentially reducing competition.

Acceptance of the remedy in principle does not constitute final approval of the acquisition.

Brink’s must identify a suitable buyer and complete the divestiture process under the Competition and Markets Authority’s framework.

The company said the sale process is already underway and that it remains engaged with several prospective buyers.

Brink’s continues to expect its acquisition of NCR Atleos to close early in the first quarter of 2027.

The company also said the divestiture does not alter its expectation for approximately $200 million of annual run-rate cost synergies within three years after the transaction closes.

The regulatory development matters because a Phase 2 referral would have subjected the transaction to a deeper investigation and potentially extended the timetable.

An accepted remedy provides a potential route around that process while preserving most of the planned combination.

For investors, the remaining issues are now primarily execution.

Brink’s must secure an acceptable buyer for the UK assets, satisfy the regulator’s final requirements and complete the remaining conditions attached to the NCR Atleos acquisition.

Until those steps occur, the transaction remains pending.
