Cenovus to Buy Athabasca Oil for C$5.7 Billion in Latest Canadian Oil-Sands Consolidation

Cenovus Energy has agreed to acquire Athabasca Oil in a C$5.7 billion cash-and-stock transaction, extending a wave of consolidation across Canada’s oil industry as producers position themselves for continued growth in the oil sands.

The transaction would add approximately 45,000 barrels per day of current production to Cenovus and includes assets capable of materially higher output over time.

Athabasca’s oil-sands properties include development opportunities that could help lift production toward 115,000 barrels per day by 2032.

The acquisition also gives Cenovus full ownership of Athabasca subsidiary Duvernay Energy, expanding the buyer’s position in the Kaybob Duvernay formation.

Cenovus plans to accelerate development of Athabasca’s Corner project, targeting roughly 40,000 barrels per day by 2032.

The transaction follows Cenovus’ C$8.6 billion acquisition of MEG Energy and further concentrates Canadian oil-sands production among large operators with the balance sheets needed to finance long-lived projects.

Investors initially delivered a mixed verdict. Cenovus shares fell while Athabasca shares jumped following announcement of the offer.

The deal comes as elevated global oil prices and changes in Canada’s regulatory environment improve the economics of expanding domestic production.

Completion is expected in December, subject to the required approvals.

For investors, the key questions will be the acquisition’s integration cost, Cenovus’ capital requirements and whether higher oil-sands production generates sufficient cash flow to justify the price paid.
