UniCredit Wins ECB Approval to Take Control of Commerzbank

Italy’s UniCredit has received approval from the European Central Bank to take control of Germany’s Commerzbank, clearing a major regulatory hurdle in one of Europe’s largest cross-border banking transactions in years.

The approval allows UniCredit to move above the 30% ownership threshold in Commerzbank and increase its stake further as it works toward securing effective control of the German lender.

UniCredit currently holds roughly 48% of Commerzbank following its takeover campaign and plans to move toward about 50% of the voting rights before the end of 2026, subject to remaining procedural requirements.

The transaction has drawn resistance from parts of the German political establishment and from Commerzbank itself, which has argued for remaining independent.

UniCredit Chief Executive Andrea Orcel has continued pursuing the deal despite that opposition, positioning the acquisition as a way to create a larger European banking group with greater scale in lending, investment banking and technology spending.

The ECB decision matters because European regulators and policymakers have repeatedly argued that the region’s banking system remains too fragmented compared with the United States.

Larger cross-border banks could potentially improve efficiency, increase investment capacity and strengthen Europe’s ability to finance digital infrastructure, defense and industrial development.

For investors, the focus now shifts to the remaining ownership and integration steps.

The key questions are whether UniCredit can complete control of Commerzbank on schedule, how German opposition evolves and when management begins implementing its longer-term integration strategy.

The ECB approval does not complete the transaction, but it significantly reduces one of the most important regulatory obstacles standing between UniCredit and full control of Commerzbank.
