Galderma has agreed to acquire U.S.-based ZO Skin Health for an enterprise value of $1.5 billion, expanding the Swiss dermatology company’s presence in physician-dispensed and medical-grade skincare.
The all-cash transaction will give Galderma 100% ownership of ZO Skin Health.
The sellers include funds managed by Blackstone Tactical Opportunities and the Obagi family.
Galderma plans to finance the acquisition using a combination of existing cash reserves and bank financing.
ZO Skin Health was founded by dermatologist Dr. Zein Obagi and is headquartered in Irvine, California.
The company offers more than 40 products and distributes them through more than 16,500 physician, medical-spa and online accounts across more than 40 countries.
ZO generated approximately $330 million in net sales during the 12 months ending in June 2026.
The acquisition expands Galderma’s existing dermatological-skincare portfolio, which includes Cetaphil and Alastin.
Galderma sees ZO and Alastin as complementary businesses.
ZO focuses heavily on protocol-based daily skincare, while Alastin specializes in regenerative skincare products frequently associated with aesthetic procedures.
Bringing the two businesses together could give Galderma a broader presence across the professional skincare market.
Galderma also expects its international distribution network to create opportunities to expand ZO beyond its existing geographic footprint.
The transaction reflects the increasing strategic importance of physician-dispensed skincare within the broader dermatology and aesthetics industry.
Companies operating in the sector are increasingly combining prescription treatments, injectable aesthetics, medical procedures and recurring skincare products within larger integrated portfolios.
Galderma expects the acquisition to be neutral to core earnings per share during the first full year following completion.
Management plans to increase commercial investment during the first year of ownership, with the goal of strengthening ZO’s longer-term growth beginning in the second year.
The transaction is expected to close during the fourth quarter of 2026 or early 2027, subject to regulatory approvals and customary closing conditions.
For investors, attention now shifts toward regulatory clearance, financing and Galderma’s ability to accelerate ZO’s growth while maintaining financial discipline.
