Persistent Systems’ German bid vehicle Galaxy Germany Holding SE is running a voluntary cash takeover offer for all Nagarro SE shares at 81 euros per share. The initial acceptance period ends Thursday, Sept 17 at 24:00 Frankfurt time (18:00 New York).
BaFin authorized the offer and acceptance began Aug 6, company materials show. Nagarro’s Management and Supervisory Boards on Aug 14 recommended acceptance and called the 81 euro price adequate and fair.
Persistent cites about a 140% premium to Nagarro’s June 25 Xetra close and about 93% to the three-month VWAP. The minimum acceptance threshold is 50% plus one share. A Lantano Beteiligungen stake of roughly 20% to 22% counts toward that bar.
Company FAQ materials put the combined group at more than $2.9 billion in annualized revenue run-rate and more than 46,000 employees. Closing still depends on thresholds and regulatory clearances, including Indian FEMA/RBI steps. The offer is live, not a completed deal.
