Multi-generation silicon and optical collaboration disclosed with a purchase-vested warrant; $60 billion is a vesting ceiling, not a firm order book.

Qualcomm and Amazon disclosed a multi-generation collaboration Tuesday for customized AI data-center silicon focused on inference, plus optical connectivity. Qualcomm also said it will deepen use of AWS AI infrastructure, including Amazon Bedrock, for chip-design workloads.
A Form 8-K shows a warrant issued Sep. 3 to an Amazon affiliate for up to 25 million shares at $161.26, expiring Sep. 3, 2036. About 3.75 million shares (15%) vested at issuance on initial purchase commitments. The rest vest only as purchase orders and actual purchases of Qualcomm Technologies server products and related services scale. Full vesting is tied to payments of up to a maximum of $60 billion: a vesting ceiling, not a disclosed Amazon commitment or backlog. The roughly $4.03 billion notional is warrant math if cash-exercised for all shares, not a funded stake today.
Qualcomm closed about $174.10, up roughly 3.2%, after an early spike above $183. Amazon was little changed.
