Ares Capital has agreed to acquire MidCap Financial Investment Corporation in a cash-and-stock transaction valued at approximately $2.6 billion, expanding its position in U.S. middle-market direct lending.
MidCap shareholders are expected to receive approximately $10.88 per diluted share. The consideration represents a premium of approximately 30.1% to MidCap’s closing price on October 26.
The acquisition would further enlarge Ares Capital, already the largest publicly traded business-development company, while strengthening Ares Management’s broader U.S. direct-lending platform.
The transaction arrives during a period of consolidation across publicly traded business-development companies. Some vehicles have traded below net asset value as investors scrutinize credit quality and the effects of changing interest rates on borrowers.
For larger platforms, those valuation differences can create opportunities to acquire portfolios, diversify lending exposure and increase operating scale.
Ares expects the transaction to increase core earnings per share, although that remains a company projection rather than a guaranteed result.
The acquisition is expected to close during the first half of 2027, subject to shareholder approval and other customary conditions.
The next question is whether consolidation among business-development companies accelerates as larger private-credit managers use their scale and access to capital to absorb smaller competitors.
