Guidewire Software has agreed to acquire London-based hyperexponential in a transaction worth as much as $2.1 billion, expanding its push into artificial-intelligence tools used by commercial insurers to price and assess risk.

The definitive agreement carries a base purchase price of $1.7 billion in cash, subject to adjustments, plus as much as $400 million of additional consideration if specified recurring-revenue targets are achieved.

Hyperexponential develops AI-native underwriting and pricing software for commercial property-and-casualty insurers.

Its technology has been used to support underwriting decisions covering more than $75 billion in annual commercial P&C premiums, according to Guidewire.

The acquisition reflects a broader shift in financial software from AI systems that primarily analyze information toward agentic systems designed to participate directly in business workflows.

Guidewire says the combination will allow AI agents to work alongside underwriters and actuaries in assessing risk, setting prices and making decisions.

That creates a potentially important application for artificial intelligence because commercial insurance pricing involves large quantities of specialized data and complex risk models.

Guidewire already supplies software to more than 570 property-and-casualty insurers across 44 countries, giving the company an established distribution network through which hyperexponential’s technology could potentially expand.

Guidewire plans to fund the transaction using cash on hand and $1 billion of new term loans from Bank of America and Citibank.

The transaction is expected to close in the second quarter of Guidewire’s fiscal 2027, subject to customary closing conditions.

For investors, the deal provides another measure of how rapidly AI is moving into specialized enterprise software.

The next question is whether Guidewire can translate hyperexponential’s underwriting technology into broader adoption across its existing insurance customer base while generating sufficient recurring revenue to justify the acquisition price.
